Terms of Contact for Haulers

These Terms of Contact ("Terms") constitute a legally binding agreement between you (“Hauler”, “you” or “your”) and WeCycle, a division of Tanbel Inc., a Delaware C Corporation ("WeCycle," "Company," "we," or "us"). By accessing or using the WeCycle platform to provide services, you agree to comply with and be bound by these Terms.
1. Eligibility
You must be at least 18 years of age and legally capable of entering into a contract. You agree to comply with all applicable laws and regulations and maintain all required permits, licenses, and insurance policies required for your services as a hauler.
2. Services
The Hauler agrees to provide junk removal, hauling, or related services ("Services") requested through the WeCycle platform. The Hauler must deliver the Services professionally and comply with all instructions provided by the customer and the platform.
3. Hauler Obligations
- Compliance with Laws: You are responsible for complying with all relevant local, state, and federal laws, including environmental, labor, and safety regulations, during the provision of services.
- Insurance: You agree to maintain insurance coverage, including liability and vehicle insurance, required by law and the platform's terms.
- Vehicles and Equipment: You are responsible for providing the necessary vehicles and equipment to fulfill your obligations under this agreement. Vehicles must be in good working condition and comply with safety standards.
4. Independent Contractor Relationship
You acknowledge that you are an independent contractor, and nothing in these Terms shall be construed as creating a joint venture, partnership, or employer-employee relationship. As an independent contractor, you are solely responsible for any taxes, benefits, or other financial obligations related to your services.
5. Compensation
Haulers will be compensated per the pricing structure outlined on the WeCycle platform. Payment terms and timelines are subject to change based on platform policies. You agree that WeCycle may withhold payments or apply deductions in case of customer disputes, failure to comply with service standards, or other contractual breaches.
6. Exclusive and Non-Exclusive Rights
WeCycle offers two tiers of hauler participation:
- Exclusive Territory Haulers: If selected for an exclusive territory, you will have exclusive rights to service customers in that territory under WeCycle branding.
- Independent Haulers: Non-exclusive haulers are independent and may service customers through WeCycle’s platform without exclusive branding rights.
The details of territory assignments, if applicable, will be communicated separately and are subject to the platform's policies.
7. Termination
WeCycle reserves the right to terminate or suspend your account at any time, without notice, for breach of these Terms or any violation of platform policies. You may terminate this agreement by providing written notice of your intent to cease using the platform.
8. Confidentiality
You agree to maintain the confidentiality of any proprietary or confidential information of WeCycle, its customers, or third parties, including customer information, platform data, and business strategies.
9. Indemnification
You agree to indemnify and hold harmless WeCycle, its affiliates, officers, directors, employees, and agents from any claims, damages, liabilities, or expenses arising from your breach of these Terms, the provision of your services, or violation of applicable laws.
10. Dispute Resolution
Any disputes arising out of or relating to these Terms shall be resolved through binding arbitration in the state of Delaware. You agree that any legal action related to this agreement must be filed in a court of competent jurisdiction in Delaware.
11. Modifications
WeCycle reserves the right to modify these Terms at any time. We will notify you of any material changes by posting an updated version on the platform or through other communication methods. Continued use of the platform after such changes constitutes acceptance of the new Terms.
12. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to conflict-of-law principles.
13. Entire Agreement
These Terms constitute the entire agreement between you and WeCycle with respect to your participation as a hauler on the platform. Any prior agreements, understandings, or communications are superseded by these Terms.
